Terms of Service

Welcome to BookedKit. These Terms of Service ("Terms") govern your access to and use of the BookedKit website, application, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

These Terms apply globally. Certain provisions may not apply to you depending on your location, and additional rights may be available to you under local laws.

1. Who We Are

BookedKit ("BookedKit," "we," "us," or "our") provides an online platform that allows users to create and publish customizable profile pages for professional and promotional use.

2. Eligibility

You must be at least 18 years old to use the Service. By using BookedKit, you represent and warrant that:

• you are at least 18 years old;
• you have the legal capacity to enter into these Terms; and
• you are not prohibited from using the Service under applicable law.

3. Account Registration

To access certain features, you must create an account. You agree to:

• provide accurate and complete information;
• keep your login credentials secure; and
• be responsible for all activity that occurs under your account.

We are not responsible for unauthorized access resulting from your failure to safeguard your credentials.

4. User Content

Ownership

You retain ownership of all content you upload, submit, display, or publish through the Service, including text, photographs, images, artwork, logos, audio, video, links, files, names, stage names, and other materials ("User Content").

BookedKit does not acquire ownership of your User Content.

License to Operate the Service

By uploading or submitting User Content, you grant BookedKit a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, format, adapt, display, transmit, and distribute your User Content as reasonably necessary to operate, maintain, improve, secure, and provide the Service.

Public Content and BookedKit Promotion

When you intentionally publish User Content so that it is visible to the public on a BookedKit page, you also grant BookedKit a non-exclusive, worldwide, royalty-free license to reproduce, display, distribute, crop, resize, format, and otherwise use that public User Content for the purpose of promoting, advertising, demonstrating, and marketing BookedKit and its services.

This may include use in:

• BookedKit websites and applications;
• BookedKit social media accounts;
• newsletters and email communications;
• product demonstrations and presentations;
• case studies, showcases, and editorial materials;
• app store and marketplace listings; and
• organic and paid advertising campaigns.

BookedKit may identify or link to your public page and may tag or credit you where reasonably practical.

Limits on Promotional Use

This promotional license applies only to User Content that you have intentionally made visible to the public through the Service.

BookedKit will not use the following for promotional purposes under this provision:

• unpublished or draft pages;
• content hidden from public view;
• password-protected content;
• private account or billing information;
• files or information available only through the editor or account dashboard;
• private communications between you and BookedKit; or
• audio or video files for playback within promotional materials, unless separately authorized, although BookedKit may display a visual preview of a public page containing an embedded player.

BookedKit will not materially alter User Content in a way that misrepresents you or your work.

BookedKit will not state or imply that you endorse, sponsor, or formally partner with BookedKit unless you have separately agreed to that representation.

BookedKit will obtain separate permission before using your User Content as a testimonial, attributing a quotation or performance claim to you, or creating an advertising campaign substantially centered on you as an identifiable individual, artist, group, or business.

Your Authority and Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• you own the User Content or have all rights, licenses, permissions, and consents necessary to upload, publish, and grant the licenses described in these Terms;
• where User Content includes another person's name, image, likeness, voice, performance, or personal information, you have obtained any permissions required to use and authorize BookedKit to use that material;
• your User Content does not violate applicable law or the rights of another person;
• your User Content is accurate and not misleading; and
• your User Content complies with applicable advertising, copyright, privacy, publicity, consumer-protection, and other laws.

BookedKit does not routinely review or endorse User Content.

Opting Out of Promotional Use

You may ask BookedKit to stop using your public User Content in future promotional materials by contacting support@bookedkit.com.

After receiving and verifying your request, BookedKit will stop creating new promotional uses of the identified User Content and will take reasonable steps to remove it from promotional materials controlled by BookedKit.

Removal may not be immediate where materials have already been printed, distributed, cached, archived, or published through third-party platforms. For active digital campaigns controlled by BookedKit, BookedKit will take reasonable steps to discontinue use of the identified User Content within a reasonable period after verifying the request.

Opting out of promotional use does not affect BookedKit's ability to host and display your content as necessary to provide the Service.

Duration of Licenses

The license used to operate the Service ends when you remove the relevant User Content or delete your account, except where continued retention or use is reasonably necessary for legal compliance, security, backups, dispute resolution, or content that cannot reasonably be withdrawn.

The promotional license ends when you remove the public content, make the page private or unpublished, delete your account, or submit a verified promotional opt-out request. This does not require BookedKit to recall or destroy materials lawfully created or distributed before the license ended, but BookedKit will not create new promotional uses after that time.

5. Prohibited Uses

You agree not to use the Service to:

• violate any law or regulation;
• infringe intellectual-property, privacy, publicity, or other rights;
• upload malicious code, spam, or deceptive content;
• harass, abuse, or harm others; or
• misrepresent yourself or your affiliations.

We reserve the right to remove content or suspend accounts that violate these Terms.

6. Plans, Payments, and Billing

Some features require a paid subscription.

• Prices and features are described on our Pricing page.
• Payments are processed by third-party providers, such as Stripe.
• Subscriptions renew automatically unless canceled.
• You may upgrade, downgrade, or cancel through your account.
• Fees are non-refundable except where required by applicable consumer-protection laws, including laws in the European Union or Latin America.

7. Third-Party Services

The Service may integrate with or link to third-party services, such as music platforms, analytics providers, and payment processors. BookedKit is not responsible for third-party content, services, availability, or policies.

Your use of third-party services is governed by their respective terms and policies.

8. Availability and Changes

We strive to keep the Service available but do not guarantee uninterrupted or error-free operation.

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice, subject to applicable law.

9. Termination

You may stop using the Service at any time.

We may suspend or terminate your access if:

• you violate these Terms;
• your use poses a risk of harm to the Service, BookedKit, or others; or
• termination or suspension is required by law.

Upon termination, your right to use the Service ends immediately, subject to provisions of these Terms that by their nature should survive termination.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available."

To the maximum extent permitted by applicable law, BookedKit disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will meet your requirements or achieve specific outcomes, including bookings, opportunities, revenue, or professional success.

11. Limitation of Liability

To the maximum extent permitted by applicable law, BookedKit shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data, revenue, goodwill, or business opportunities.

To the maximum extent permitted by applicable law, BookedKit's total liability for any claim arising out of or relating to the Service shall not exceed the amount you paid to BookedKit during the twelve (12) months preceding the event giving rise to the claim, or USD $100 if you did not pay any fees during that period.

12. Indemnification

You agree to indemnify and hold harmless BookedKit and its affiliates, officers, employees, and representatives from claims, damages, liabilities, losses, and reasonable expenses arising out of or relating to:

• your use of the Service;
• your User Content;
• your violation of these Terms or applicable law; or
• your failure to obtain the rights, licenses, releases, or permissions required for User Content you upload, publish, or authorize BookedKit to use.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles.

However, if you are a consumer residing in the European Union or another jurisdiction that provides mandatory consumer protections, nothing in this section deprives you of protections granted under the laws of your country of residence.

14. Changes to These Terms

We may update these Terms from time to time. When changes are material, we will provide reasonable notice, such as by email, an in-product notification, or a notice posted through the Service.

The updated Terms will identify their effective date. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms, except where applicable law requires another form of consent.

If you do not agree to the updated Terms, you may stop using the Service and delete your account before the updated Terms take effect.

16. Data Protection and Privacy for EU and International Users

BookedKit processes personal data in accordance with applicable data-protection laws, including the General Data Protection Regulation (EU) 2016/679 ("GDPR") and relevant laws in Latin America.

For information about the personal data we collect, how it is used, stored, and shared, and how you can exercise your rights, please review our Privacy Policy.

If you are located in the European Economic Area ("EEA"), subject to applicable conditions and exceptions, you may have the right to:

• access your personal data;
• request correction or deletion of your personal data;
• object to or restrict certain processing;
• request data portability; and
• withdraw consent where processing is based on consent.

17. Consumer Rights Notice

Nothing in these Terms is intended to limit any rights you may have under applicable consumer-protection laws in your country of residence. Where mandatory consumer laws apply, those laws take precedence over conflicting provisions in these Terms.

18. Language

These Terms are written in English. If they are translated into another language, the English version will prevail in the event of a conflict or inconsistency, except where prohibited by applicable law.
